Purpose of Agreement

This agreement describes the terms and conditions by which NP Communications Limited shall provide certain services to the client. It replaces any previous verbal agreements between NP Communications Ltd. and other parties.

Purpose of Agreement Under this agreement NP Communications Ltd. provides Internet services, products and training services to the client.

Pricing and Payment Terms

Quotes

NP Communications Ltd will supply the client with a written quote of the expected cost of work prior to commencement of work. This quote will be based on the initial discussions of requirements and may alter as a website; product or agreed project is developed. NP Communications will inform the client if the cost is likely to exceed the original quote before embarking on any extra work.

If training or website or any respective product is likely to be developed over a period of time exceeding two calendar months, it may be necessary to take an initial deposit of 35% of the total quoted cost. This will be discussed and agreed with the client before work commences.

Payment Terms

All virtual server and domain costs are payable upfront. Design and consultancy services are due within 15 days of the date of invoice.

Termination and Collection

Accounts that are past due by more than 30 days are subject to immediate termination. In these circumstances, £100 reinstatement fee applies to reactivate the service, in addition to full payment of the balance. Newly designed web sites will not be published to the client's own domain until full payment has been made unless prior agreement has been reached between themselves and NP Communications Limited.

Service Standards

  • NP Communications Ltd will maintain client confidentiality at all times.
  • If a client agrees to have accepted the product or the services, it will be regarded that they consider the work acceptable.
  • NP Communications Ltd will work as quickly as possible. However, it is limited by the time taken to provide information by the client or any other third party.
  • If the client wishes to cease trading with NP Communications Ltd, any work produced and paid for in full is the property of the client.
  • NP Communications Ltd, however, will not be responsible for publishing to a new server. Should the client also wish to make new server arrangements it will give copies of any design work to the client in a variety of formats. It will also allow the client time to make new arrangements to prevent a website being inaccessible during transfer of services.
  • NP Communications Ltd will make every attempt to keep the momentum going while work is developed. It will not, however, take responsibility for chasing clients when calls are not returned and will cease work until clients are contactable. In some cases, invoices may be sent out for work to date in these circumstances.
  • NP Communications Ltd regard the initial production of samples and templates the first stage in the business relationship. It welcomes telephone calls and offers free basic advice.
  • Minor updates to work (e.g. change of address or occasional additional paragraph) will be carried out free-of-charge. More substantial alterations will be quoted for prior to commencement of work.
  • Any photographs or documentation required will be taken and arrangements made for development by NP Communications. There will be no extra cost for this service. However, no deduction will be made for documentation which have been supplied by the client.
